CLISHOP Terms & Conditions

These Terms & Conditions / Terms of Service (“Terms”) govern your access to and use of the CLISHOP command-line interface, hosted website, APIs, and any related services, software, and features (collectively, the “Services”).

The Services are operated by Davoox (“CLISHOP,” “we,” “us,” “our”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Definitions

  • “Buyer,” “you,” “your”: any person or entity using the Services.
  • “AI Agent”: any automated system (including LLM-based agents) you use to interact with the Services.
  • “Vendor”: any third-party merchant, store, marketplace, or seller whose products may be ordered via the Services.
  • “Product”: any good or service offered by a Vendor.
  • “Order”: any purchase request transmitted via the Services to a Vendor.
  • “Vendor Amount”: product price, shipping, taxes, and any Vendor-imposed charges for an Order.
  • “CLISHOP Fee”: any platform fee, markup, service fee, subscription fee, or other amount charged by CLISHOP for providing the Services, including order routing and payment handling.

2) Scope and Acceptance

These Terms apply to all use of the Services, including use through the CLI, website, API, integrations, and any automation. You agree that these Terms form a binding contract between you and Davoox.

3) Early Launch / Experimental Product (Beta) — Use at Your Own Risk

The Services are an early launch and experimental (beta) product. You understand and accept that:

  • the Services may be unstable, incomplete, inaccurate, or unreliable;
  • features may change, be removed, or fail without notice;
  • downtime, delays, bugs, incorrect outputs, and incorrect order routing are expected risks;
  • the Services may place unintended Orders or place Orders with incorrect parameters due to software bugs, Vendor system behavior, third-party outages, AI Agent mistakes, prompt issues, or automation logic.

You use the Services entirely at your own risk. You are solely responsible for your use of CLISHOP, including verifying what your account and any AI Agent is doing and for all consequences of Orders placed.

To the maximum extent permitted by applicable law, CLISHOP has no responsibility or liability for any loss, damage, or harm arising from beta/experimental limitations, bugs, outages, delays, incorrect outputs, or incorrect routing.

4) What CLISHOP Is (and Is Not)

CLISHOP provides software that helps you search, select, and submit Orders to Vendors. CLISHOP is a technical intermediary and payment-handling middleman.

Vendors are the sellers of record. CLISHOP is not the seller of Products.

Unless CLISHOP explicitly states otherwise in writing for a specific Order, the Vendor (not CLISHOP) is solely responsible for:

  • product listings, descriptions, images, specifications, pricing, and legality;
  • inventory, availability, and substitutions;
  • taxes, shipping, delivery, customs, and compliance;
  • accepting, rejecting, canceling, or modifying Orders;
  • fulfillment, delivery performance, and customer support;
  • returns, refunds, exchanges, warranty/guarantees, recalls, and after-sales service;
  • product safety, defects, misrepresentation, and any product-related claims.

Your purchase contract for a Product is between you and the Vendor. CLISHOP does not manufacture, stock, warehouse, inspect, package, or ship Products.

5) Eligibility and Account Responsibility

You may create an account to use the Services. You agree to:

  • provide accurate, current information;
  • maintain the security of your credentials;
  • be responsible for all activity under your account, including any actions taken by an AI Agent or automation connected to your account.

If you use the Services on behalf of an organization, you represent and warrant you have authority to bind that organization, and “you” includes that organization.

6) AI Agents and Automation — You Are Fully Responsible

You may allow AI Agents to use the Services and place Orders with or without human confirmation. You acknowledge and agree:

  • You are fully responsible for all Orders and charges made through your account, including those initiated by an AI Agent—whether intended or unintended.
  • AI Agents may make mistakes. CLISHOP is not responsible for incorrect Orders, wrong Products, wrong quantities, wrong addresses, duplicate purchases, or purchases made due to model error, tool misuse, prompt issues, automation logic, or system behavior.
  • Any safety features, warnings, confirmations, spending controls, or safeguards (if present) are provided as a convenience only. If they fail or are bypassed, you remain solely responsible.
  • You must ensure your AI Agent is authorized to use your payment method(s) and place Orders on your behalf.

7) Orders

7.1 Order submission and Vendor acceptance

When you place an Order, you authorize CLISHOP to transmit Order details to the Vendor and relevant service providers. The Vendor decides whether to accept, reject, fulfill, modify, or cancel the Order, subject to the Vendor's policies and applicable law.

CLISHOP does not guarantee that:

  • an Order will be accepted or fulfilled;
  • a Product is available;
  • any shipping or delivery estimate is accurate;
  • any listing information is correct or up to date.

7.2 Your responsibility for accuracy

You are responsible for providing accurate shipping, contact, and Order information. CLISHOP is not responsible for losses caused by incorrect information you provide (including via an AI Agent).

8) Payments, Fees, and Authorization

8.1 Authorization to charge

By placing an Order or using paid features, you authorize CLISHOP (and its payment processor(s)) to charge your selected payment method for:

  • the Vendor Amount, and
  • the CLISHOP Fee.

You also authorize CLISHOP to perform payment-related actions necessary to complete Orders, including captures, partial captures, reversals, adjustments, and refunds initiated or approved by Vendors.

8.2 CLISHOP's payment-handling role

Where CLISHOP accepts payment for an Order, CLISHOP does so as a limited payment-handling intermediary for the purpose of collecting funds from you and remitting the Vendor Amount to the Vendor (as applicable to the integration/flow). The Vendor remains the seller of record.

8.3 CLISHOP Fees (service fees)

CLISHOP Fees compensate CLISHOP for providing the Services (including routing, automation infrastructure, and payment handling).

Unless required by applicable law, CLISHOP Fees are non-refundable once the Order has been routed/submitted to the Vendor or once the relevant service has been provided, even if:

  • the Vendor rejects or cancels the Order;
  • the Vendor fails to fulfill or delays fulfillment;
  • you change your mind; or
  • you are dissatisfied with the Product or Vendor.

8.4 Pricing and billing

Prices, fees, and calculations may change at any time. Where feasible, we display amounts before you submit an Order, but you acknowledge that Vendor systems and third parties may change amounts, shipping, or taxes. You authorize CLISHOP to charge the final amount required to complete the Order, including any applicable CLISHOP Fee disclosed via the Services.

8.5 Saved payment methods; tokens

You authorize CLISHOP to store payment method tokens/identifiers provided by our payment processor (e.g., Stripe tokens) so that we can process charges and refunds. We do not store full card numbers in the Services.

8.6 Failed payments; collections; account actions

If a payment fails, is reversed, is disputed, or is suspected to be fraudulent, CLISHOP may (without notice):

  • cancel or refuse Orders;
  • suspend or terminate your account;
  • disable stored payment tokens;
  • restrict features; and/or
  • take reasonable steps to recover amounts owed.

9) Cancellations

Order cancellations are governed by the Vendor's policies and operational ability. Once an Order is routed, it may be impossible to cancel.

CLISHOP may (at its discretion) transmit a cancellation request to the Vendor, but CLISHOP does not guarantee cancellation or any outcome.

10) Returns, Refunds, Warranty, and Support

10.1 Vendor responsibility

All Product-related issues are solely the Vendor's responsibility, including:

  • shipping delays, lost packages, damage, defects, wrong items, missing items;
  • returns, refunds, exchanges;
  • warranty claims, repairs, replacements;
  • recalls, safety issues, and product compliance.

10.2 CLISHOP support is optional and not an obligation

CLISHOP may choose to assist you by forwarding messages or helping you contact a Vendor. However:

  • CLISHOP has no obligation to provide support for Vendor issues;
  • CLISHOP is not a dispute-resolution provider;
  • CLISHOP does not guarantee any outcome, response time, or resolution.

10.3 Refund processing mechanics

If a Vendor approves or initiates a refund, CLISHOP will generally process the refund back to your original payment method when possible. Timing depends on Vendor confirmation and payment processor timelines. CLISHOP is not responsible for Vendor refusals, delays, or partial refunds.

11) Chargebacks and Payment Disputes

You agree to attempt resolution with the Vendor for Product-related disputes before initiating a chargeback.

If you initiate a chargeback or payment dispute, CLISHOP may suspend or terminate your account and restrict further use of the Services. You remain responsible for all amounts owed.

Nothing in this section removes rights you may have under mandatory applicable law.

12) No Recourse for Vendor/Product Issues (Release)

To the maximum extent permitted by applicable law, you agree that:

  • your sole recourse for Product and Order issues is against the Vendor, and
  • you release and waive any claims against CLISHOP arising out of or relating to any Product, Vendor, listing, shipment, delivery, refund, warranty, recall, chargeback outcome, or Vendor decision.

This release does not apply to liability that cannot be waived under applicable law.

13) Acceptable Use

You may not:

  • use the Services for unlawful activity, fraud, deception, or to violate sanctions/export laws;
  • purchase or attempt to purchase illegal or restricted goods in your jurisdiction;
  • interfere with or disrupt the Services, probe for vulnerabilities, bypass limits, or access systems without authorization;
  • use the Services to infringe third-party rights (including IP, privacy, or contractual rights);
  • misuse automation in a way that harms the Services, Vendors, or other users.

CLISHOP may investigate and take any action it deems appropriate, including suspension or termination.

14) Data, Logging, and Communications

You acknowledge and agree that CLISHOP may:

  • log every search, command, and request you make through the Services (including via AI Agents),
  • record operational telemetry, timestamps, identifiers, and error logs, and
  • share Order and fulfillment-related data with Vendors and service providers to enable fulfillment, payment handling, fraud prevention, and compliance.

Use of personal data is governed by CLISHOP's Privacy Policy.

15) Intellectual Property

The Services (including software, branding, and content provided by CLISHOP) are owned by or licensed to CLISHOP and protected by applicable laws. You receive a limited, revocable, non-transferable right to use the Services as intended, subject to these Terms.

You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from the Services except to the extent permitted by mandatory law.

16) Third-Party Services

The Services depend on third parties (including Vendors, marketplaces, payment processors, hosting providers). CLISHOP is not responsible for third-party services, their availability, their errors, or their policies. Third-party terms may apply to you.

17) Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided “AS IS” and “AS AVAILABLE.” CLISHOP disclaims all warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

CLISHOP does not warrant that:

  • the Services will be uninterrupted, timely, secure, or error-free;
  • outputs, listings, rankings, or routing will be accurate;
  • Orders will be accepted, fulfilled, or delivered; or
  • Products will meet your needs or expectations.

18) Limitation of Liability

To the maximum extent permitted by applicable law:

  • No Vendor/Product liability. CLISHOP has no liability for any Product or Vendor acts/omissions, including defects, safety issues, shipping/delivery failures, refunds, warranties, or customer service.
  • No automation/AI liability. CLISHOP has no liability for any actions taken by your AI Agent or automation, including unintended purchases or incorrect Orders.
  • No beta/experimental liability. CLISHOP has no liability for downtime, bugs, delays, incorrect outputs, incorrect routing, or any experimental-product limitations.
  • No indirect damages. CLISHOP is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility.

Liability cap

If, despite the above, CLISHOP is found liable for any claim arising out of or relating to the Services, CLISHOP's total liability is limited to the lower of:

  • the total CLISHOP Fees you paid to CLISHOP in the 30 days before the event giving rise to the claim, or
  • €50.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (for example, liability for fraud or willful misconduct where exclusion is prohibited).

19) Indemnification

You agree to indemnify, defend, and hold harmless CLISHOP (Davoox) and its directors, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • your use of the Services;
  • any Orders placed through your account (including by AI Agents);
  • your violation of these Terms, Vendor terms, or applicable law; or
  • your infringement of any third-party right.

20) Suspension and Termination

CLISHOP may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including risk management, security concerns, suspected fraud, compliance, abuse, or violation of these Terms.

Upon termination:

  • your rights to use the Services end immediately;
  • you remain responsible for any outstanding amounts and any Orders already routed.

21) Changes to the Services and Terms

CLISHOP may change, suspend, or discontinue any part of the Services at any time without liability. CLISHOP may update these Terms from time to time. Continued use after an update means you accept the updated Terms.

22) Governing Law and Jurisdiction

These Terms are governed by the laws of Belgium, without regard to conflict of law rules.

If you are a consumer in the EU/EEA, you may have mandatory rights and may be entitled to bring claims in the courts of your country of residence. Otherwise, the competent courts of Ghent, Belgium shall have exclusive jurisdiction.

23) Miscellaneous

  • Entire agreement. These Terms (and any policies referenced) are the entire agreement between you and CLISHOP regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without CLISHOP's consent. CLISHOP may assign these Terms to an affiliate or successor.
  • Force majeure. CLISHOP is not liable for delays or failures due to events beyond its reasonable control (including Vendor failures, third-party outages, network issues, payment processor issues, strikes, disasters, or governmental actions).
  • Electronic communications. You consent to receive communications electronically (email, in-product notices).
  • Language. These Terms may be provided in multiple languages; in case of conflict, the English version controls to the extent permitted by applicable law.
